Over the last several months we have been engaged in constructive discussions with our lenders to reach a mutually acceptable solution to significantly reduce our debt and improve our capital structure. Because of our positive progress and the strength of our operations, we have finalized the terms of a restructuring that has support from certain holders of the Company’s outstanding obligations under its first-lien loan. In order to implement our restructuring plan, on July 8, 2009, we chose to file what is commonly known as a “pre-arranged” restructuring under Chapter 11 of the U.S. Bankruptcy Code.

Reaching this agreement with our lenders will enable us to quickly restructure our debt and emerge from this process better positioned for continued growth and success. The agreement and the ongoing support from our lenders is an important and positive step forward for our company and underscore our lenders’ confidence in our business. Through this process, we will secure a better future for CCS Medical by better aligning our debt structure with our operations while ensuring that business will continue as usual.
